1. Acceptance of Terms

By accessing and using Grow360 ("Service"), you accept and agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Service. These terms are governed by the laws of India and the jurisdiction of Indian courts.

Grow360 operates as a multi-tier platform with two distinct access points:

  • Web Platform: Used by Agencies, Agency Administrators, and Agents to manage client accounts, customize templates, and handle service requests
  • Mobile Application: Used by business clients to receive daily AI-generated marketing content, browse content library, and request additional services

2. Description of Service

Grow360 is an AI-powered marketing content generation platform that:

  • Automatically generates daily marketing content (quotes and backgrounds) using artificial intelligence
  • Applies custom business branding (logo, business name, contact details) to content
  • Delivers ready-to-share content via mobile application
  • Provides a multi-tier management system for agencies, agents, and clients
  • Enables service requests and commission tracking for additional business services

3. User Accounts and Roles

3.1 Account Creation

Our Service operates on an invite-only basis. Accounts cannot be self-registered:

  • Web Platform Users: Agency Administrator and Agent accounts are created by authorized platform administrators
  • Mobile App Users: Client accounts are created by Agents through the web platform. Clients receive an invitation to install and activate the mobile app

3.2 User Roles and Responsibilities

Web Platform Users:

  • Agency Administrator: Manages own agency's agents, views all agency clients, sets service pricing, tracks service performance, and configures commission rates
  • Agent: Creates and manages client accounts, customizes templates, handles service requests, quotes services, and provides client support

Mobile App Users:

  • Client: Receives daily AI-generated marketing content via mobile app, can browse content library, download and share content, request additional services, and communicate with assigned agent

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. For mobile app users, account access is secured through phone number verification via OTP (One-Time Password).

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable laws or regulations in India
  • Infringe upon intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service to generate content that is defamatory, obscene, discriminatory, or violates any person's rights
  • Resell or redistribute generated content without proper authorization
  • Exceed usage quotas or attempt to circumvent system limitations
  • Impersonate another person or entity
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated systems (bots, scrapers) to access the Service without authorization

4.1 Additional Restrictions for Web Platform Users

  • Do not create fake or fraudulent client accounts
  • Do not share your account credentials with unauthorized persons
  • Do not access or modify client data outside your authorized scope
  • Maintain confidentiality of client information

4.2 Additional Restrictions for Mobile App Users

  • Do not attempt to reverse engineer or decompile the mobile application
  • Do not use the app to distribute spam or unsolicited communications
  • Do not share content that violates third-party rights or applicable laws

5. Content and Intellectual Property

5.1 AI-Generated Content

Content generated by our AI (quotes, backgrounds) is provided for your use. You may use, modify, and share this content for your business marketing purposes. However, you may not claim exclusive ownership or copyright over AI-generated elements.

5.2 Your Content

You retain ownership of content you upload (logos, custom images, business information). By uploading content, you grant us a license to use, store, and process it to provide the Service.

5.3 Platform Intellectual Property

The Service, including its design, software, and functionality, is owned by Grow360 and protected by Indian and international copyright laws. You may not copy, modify, or create derivative works without permission.

6. Service Content and Availability

6.1 Daily Content Generation (Mobile App Users)

The Service provides daily AI-generated marketing content for your business domain:

  • Fresh content is generated daily at 6 AM IST for each business domain
  • Content is shared across all clients within the same domain
  • You can browse the content library to view and use older content
  • All content is automatically customized with your business branding (logo, business name, contact details)
  • Content is delivered via mobile app. You can download, share, or browse the library at any time

6.2 Content Quality and Accuracy

While we strive to provide high-quality content:

  • AI-generated content may occasionally contain errors or inaccuracies
  • You are responsible for reviewing content before sharing
  • We are not liable for any consequences arising from the use of AI-generated content
  • If you find inappropriate or inaccurate content, please report it to your agent

7. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or unforeseen circumstances. We are not liable for any losses resulting from service interruptions.

8. Data Retention and Deletion

Our data retention policy:

  • Library Canvases: Retained permanently
  • Non-Library Canvases: Automatically deleted after 15 days
  • Master Templates: Retained permanently
  • User Accounts: Retained until deletion or archival

Upon account deletion, your data will be removed in accordance with our Privacy Policy and applicable laws.

9. Limitation of Liability

To the maximum extent permitted by Indian law:

  • We provide the Service "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount paid by you for the Service in the past 12 months
  • We are not responsible for content generated by AI that may be inappropriate or inaccurate

10. Indemnification

You agree to indemnify and hold harmless Grow360, its affiliates, and employees from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

11. Termination

We may suspend or terminate your account at any time for:

  • Violation of these Terms of Use
  • Fraudulent or illegal activity
  • Non-payment (if applicable)
  • At the request of your Agency Administrator (for Agents and Clients)
  • Breach of security or unauthorized access attempts

11.1 Account Deletion Requests

  • Mobile App Users (Clients): You may request account deletion through your assigned Agent or Agency Administrator, or through the app's support feature
  • Web Platform Users: You may request account deletion through platform support or your Agency Administrator

Upon termination, your access to the Service will cease immediately. Your data will be handled in accordance with our Privacy Policy and applicable data retention policies. Some data may be retained for legal or regulatory compliance purposes.

12. Changes to Terms

We reserve the right to modify these Terms of Use at any time. We will notify users of significant changes via the Service or email. Continued use of the Service after changes constitutes acceptance of the new terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in India.

In case of disputes, parties agree to first attempt resolution through good faith negotiation. If unresolved, disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 2015 of India.
